3D Systems kauft Phenix Systems (Update)

Der amerikanische 3D Drucktechnologie Hersteller 3D Systems (DDD), übernimmt den französischen Hersteller Phenix Systems.

13.06.2013 – Das Raten über die nächste Übernahme von 3D Systems hat scheinbar (vorerst) ein Ende. Nach Spekulationen einer Übernahme des schwedischen Herstellers Arcam AB, scheint die Wahl nun auf ein anderes Unternehmen gefallen zu sein.

3D Systems kündigte gestern an, 80% des französischen “Direct Metal Selective Laser Sintering” Unternehmen Phenix Systems zu übernehmen. Damit erweitert 3D Systems sein Portfolio um die taktisch wichtige Verarbeitung von Metallen. Zwar bietet 3D Systems bereits jetzt SLM (Selective Laser Melting) Drucker an, die Patente liegen jedoch beim deutschen Unternehmen EOS.
Die Spekulationen über eine bevorstehende Übernahme seitens 3D Systems, wurden wegen dem Verkauf von weiteren Stammkapital ausgelöst. Ein Analyst vermutete kurz darauf eine Übernahme des schwedischen Unternehmens Arcam AB, das für seine metallverarbeiteten Elektronenstrahlschmelz-Verfahren (EBM- “Electron Beam Melting”) bekannt ist. In wie weit das darauf folgende “Private Placement” seitens Arcam AB damit zu tun hat, ist fraglich.

Nach der Übernahme des in Riom ansässigen Herstellers Phenix Systems, hat 3D Systems Zugriff auf die additiven Verarbeitungsformen von Metallen. Damit lassen sich aus einem 6 bis 9 Micron feinen Granulat, mithilfe eines Lasers Objekte aus Keramik, Stahl, verschiedenen Legierungen und Aluminium für die Luftfahrt, die Medizin und den Automotiv Sektor herstellen.

Die Übernahme soll noch im July 2013 abgeschlossen werden. 3D Systems plant auch die letzten 20% mittels Übernahmeangebots zu erwerben.

 This acquisition is subject to customary closing conditions, and is expected to close in July 2013. After those conditions are met and the acquisition closes, 3D Systems intends to launch a take-over bid on the remaining 20% of the shares of Phenix Systems, listed on the French stock market (Alternext), followed by a squeeze-out procedure should it reach 95% of the shares or voting rights of Phenix Systems, during the second half of 2013. The maximum price payable by 3D Systems for the 80% block is 13 euros per share.

In wie weit sich die Übernahme im Rechtsstreit von Phenix Systems mit EOS auswirken wird, bleibt abzuwarten.

3D Systems erweitert seinen Markt laufend durch Zukäufe anderer Hersteller und Dienstleister. Neben den jüngsten Übernahmen von RPGD und Geomagic, gehören mittlerweile auch die einst unabhängigen Unternehmen Rapidform, TIM, Bits from Bytes, Viztu Technologies, Freedom of Creation, “My Robot Nation” (MRN), FreshFiber und Bespoke Inovations zum US Hersteller 3D Systems.

Update: 15.07.2013 – Übernahme von Phenix Systems durch 3D Systems abgeschlossen

3D Systems (DDD) meldet heute via Pressemeldung den Abschluss der Übernahme von Phenix Systems. 3D Systems erwarb 81% der Anteile des Herstellers von Direct Metal Selective Sintering Maschinen um $15,1 Mio.
